   1                   END USER LICENSE AGREEMENT

   3 THIS IS A CONTRACT BETWEEN YOU AND ALWIL SOFTWARE, A
   4 PRAGUE, CZECH REPUBLIC CORPORATION. BY USING THIS SOFTWARE YOU
   5 ACCEPT ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT.
   6 If you do not agree with the terms and conditions of this
   7 Agreement, do not continue in install process and return this
   8 software to reseller where you obtained it.

  10 This package contains software (Software) and related
  11 explanatory written materials (Documentation). The term
  12 Software shall also include any upgrades, notified versions,
  13 updates, additions and copies of the Software licensed to you
  14 by ALWIL Software. ALWIL Software grants to you a non-exclusive
  15 license to use the Software and Documentation, provided that you
  16 agree the following:

  18 1. Use of the Software.
  19 You may:
  20 Install the Software in a single location on a hard disk or
  21 other storage device of up to the number of computers
  22 indicated in the license agreement.
  23 Provided the Software is configured for network use, install
  24 and use the Software on a single file server for use on a
  25 single local area network for either (but not both) of the
  26 following purposes:

  28 1.1 permanent installation onto a hard disk or other storage
  29     device of up to the permitted number of computers, or
  30 1.2 use of the Software over such a network, provided the
  31     number of different computers on which the Software is used
  32     does not exceed the permitted number of computers.

  34 The primary user of each computer on which the Software is
  35 installed or used may also install the Software on one home or
  36 portable computer. However, the Software may not be used on
  37 the secondary computer by another person at the same time the
  38 Software on the primacy computer is being used.

  40 Make one backup copy of the Software, provided your backup
  41 copy is not installed or used on any computer.

  43 2. Copyright.
  44 The Software is the intellectual property of ALWIL Software
  45 and is protected by U.S./Czech Republic copyright law,
  46 international treaty provisions, and applicable laws of the
  47 country in which is being used. The structure, organisation
  48 and code of the Software are the valuable trade secrets and
  49 confidential information of ALWIL Software. Therefore you must
  50 treat the Software just as you would any other copyrighted
  51 material such as a book. In other words, you may not copy the
  52 Software or the Documentation except as set forth in the
  53 section 1 of this license agreement. Any copies that you are
  54 permitted to make pursuant to this Agreement must contain the
  55 same copyright and other proprietary notices which appear on
  56 or in the Software. You agree not to modify, adapt, translate,
  57 reserve engineer, de-compile, disassemble or otherwise attempt
  58 to discover the source of the Software. Registered trademark
  59 shall be used in accordance with accepted trademark practice,
  60 including identification of trademark owner's name.
  61 Trademarks can only be used to identify printed output
  62 produced by the Software. The use of any trademark as herein
  63 authorised does not give you any rights of ownership in that
  64 trademark. Except as stated above, this Agreement does not
  65 grant you any rights to intellectual property rights in this
  66 Software.
  67 Requests for information can be directed to Software
  68 Development, ALWIL Software, Prubezna 76, 100 00 Praha 10,
  69 Czech Republic.

  71 3. Transfer
  72 You may not rent, lease, sub-license, or lend the Software or
  73 Documentation. You may, however, transfer all your rights to
  74 use the Software to another person or legal entity, provided
  75 that you transfer this Agreement and transfer (or destroy),
  76 the Software, including all copies, updates and prior
  77 versions, and all Documentation to such person or entity and
  78 provided that you retain no copies, including copies stored on
  79 your computer.

  81 4. Limited Warranty
  82 ALWIL Software warrants to you that the Software will perform
  83 substantially in accordance with the Documentation for 90 day
  84 period following your receipt of the Software. To make a
  85 warranty claim, you must return the Software to the location
  86 where you obtained it along with a copy of your sales receipt
  87 within 30 day period. If the Software does not perform
  88 substantially in accordance with the Documentation, the entire
  89 and exclusive liability of ALWIL Software and its distributors, and
  90 your exclusive remedy shall be limited to either, at ALWIL's
  91 option, the replacement of the Software or the refund of the
  92 license fee you paid for the Software.

  94 ALWIL SOFTWARE AND ITS DISTRIBUTORS DO NOT AND CANNOT WARRANT THE
  95 PERFORMANCE OR RESULTS YOU MAY OBTAIN BY USING THE SOFTWARE OR
  96 DOCUMENTATION. THE FOREGOING STATES THE SOLE AND EXCLUSIVE
  97 REMEDIES FOR ALWIL'S OR ITS DISTRIBUTOR'S BREACH OF WARRANTY.
  98 EXCEPT FOR THE FOREGOING LIMITED WARRANTY, ALWIL AND ITS
  99 DISTRIBUTORS MAKE NO WARRANTIES OR CONDITIONS, EXPRESS OR
 100 IMPLIED, AS TO NONINFRINGEMENT OFTHIRD PARTY RIGHTS,
 101 MERCHANTABILITY, SUITABLE QUALITY OR FITNESS FOR ANY
 102 PARTICULAR PURPOSE. IN NO EVENT WILL ALWIL OR ITS DISTRIBUTORS
 103 BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL OR SPECIAL
 104 DAMAGES, INCLUDING ANY LOST PROFITS OR LOST SAVINGS, EVEN IF
 105 AN ALWIL REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF
 106 SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY.

 108 5. Governing Law and General Provisions
 109 This Agreement will be governed by the laws in the force in
 110 the country within the European Union, Switzerland or Norway
 111 in which you are located at the moment of entering into this Agreement.
 112 If you are located outside the European Union, Switzerland or
 113 Norway the laws of Czech Republic shall govern this Agreement.
